Failing that, the change will not be enforceable against <strong>celduc\u00ae transfo<\/strong>.<\/p><p><strong>1.2 &#8211; Acceptance<br \/><\/strong><\/p><p><strong>celduc\u00ae transfo<\/strong>&#8216;s orders, the particular conditions contained therein and these terms and conditions of purchase will be considered as accepted by the supplier if no reservations are expressed in writing within 72 hours of their receipt.<\/p><p>Any such reservations must be formally accepted by <strong>celduc\u00ae transfo<\/strong>.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9632003 elementor-widget elementor-widget-spacer\" data-id=\"9632003\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4e14b61 elementor-widget elementor-widget-text-editor\" data-id=\"4e14b61\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>ARTICLE 2 \u2013 <strong>DELIVERIES<\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f301ed6 elementor-widget elementor-widget-text-editor\" data-id=\"f301ed6\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p><strong>2.1 \u2013 Date<br \/><\/strong>The contractual date for the delivery of the products is the date specified in the purchase order.\u00a0<br \/>This is the date when the supplier has undertaken to make the products &#8211; of the quality and in the quantity agreed &#8211; available to <strong>celduc\u00ae transfo<\/strong> on its premises.<\/p><p><strong>2.2 \u2013 Deadlines<br \/><\/strong><\/p><p>Any delivery made after the contract date will automatically render the supplier liable to late performance penalties.<br \/>These penalties will be invoiced and the amount set off against the supplier&#8217;s invoices.\u00a0<br \/>The amount of such penalties will be equal, at <strong>celduc\u00ae transfo<\/strong>&#8216;s choice, to:<\/p><ul><li>Either the amount of the late performance penalties <strong>celduc\u00ae transfo<\/strong> is liable to incur with its own customer due to the supplier&#8217;s default; or 2.5% of the value inclusive of VAT of the order per week for the first three weeks and 5% of the same amount as of the fourth week.<\/li><li>In any case, these late performance penalties will be limited to 15% of the total value inclusive of VAT of the order.<\/li><\/ul><p>Any delay greater than one month will entitle <strong>celduc\u00ae transfo<\/strong> to cancel the order, with the fault lying exclusively with the supplier, after <strong>celduc\u00ae transfo<\/strong> has sent a registered letter of warning left with effect for 48 hours.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1782482 elementor-widget elementor-widget-spacer\" data-id=\"1782482\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fc9b0a3 elementor-widget elementor-widget-text-editor\" data-id=\"fc9b0a3\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>ARTICLE 3 \u2013 <strong>INSPECTION OF THE GOODS BEFORE SHIPPING<\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0a3ca52 elementor-widget elementor-widget-text-editor\" data-id=\"0a3ca52\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Goods shall only be shipped after the supplier has issued a certificate of conformity for the goods stating that they meet the specifications contained in the <strong>celduc\u00ae transfo<\/strong> purchase order.<\/p><p>These certificates of conformity must be sent to <strong>celduc\u00ae transfo<\/strong> immediately upon request.<\/p><p>If any particular tests are specified in the purchase order, these must be the subject of test reports which will be enclosed with the certificates of conformity.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2609f1a elementor-widget elementor-widget-spacer\" data-id=\"2609f1a\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-81fd7b4 elementor-widget elementor-widget-text-editor\" data-id=\"81fd7b4\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>ARTICLE 4 \u2013 TRANSPORT<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-488dd0f elementor-widget elementor-widget-text-editor\" data-id=\"488dd0f\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>Unless provided otherwise, the supplier will be responsible for arranging the transport and insurance of the goods to the place specified by <strong>celduc\u00ae transfo<\/strong>.\u00a0<br \/>Unless agreed otherwise, the supplier will bear all the transport and insurance costs.\u00a0<br \/>It will be entirely liable for any taxes and customs clearance charges and will pay them directly.\u00a0<br \/>Unless provided otherwise, the supplier will bear all the costs of packing the product.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-17c633f elementor-widget elementor-widget-spacer\" data-id=\"17c633f\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1368eac elementor-widget elementor-widget-text-editor\" data-id=\"1368eac\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>ARTICLE 5 \u2013 <strong>RETURNS<\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6772a7d elementor-widget elementor-widget-text-editor\" data-id=\"6772a7d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>All products, materials or equipment delivered by the supplier that are not fit for the use agreed by the supplier and <strong>celduc\u00ae transfo<\/strong> may be refused or returned, in particular if found to include any nonconformities.\u00a0<br \/>The costs of these operations will be borne by the supplier.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-36c9cb4 elementor-widget elementor-widget-spacer\" data-id=\"36c9cb4\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9a1080c elementor-widget elementor-widget-text-editor\" data-id=\"9a1080c\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>ARTICLE 6 \u2013 <strong>COMPLAINTS \u2013 LIABILITY<\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e375d9a elementor-widget elementor-widget-text-editor\" data-id=\"e375d9a\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>The supplier shall bear the entire liability for any nonconformities or hidden defects in the products delivered.\u00a0<br \/><strong>The following shall not be enforceable against celduc\u00ae transfo :<\/strong><\/p><ul><li><strong> Any clause imposing upon celduc\u00ae transfo a specific time limit for complaints or returns,<\/strong><\/li><li><strong> Any clause excluding or limiting the supplier&#8217;s liability.<\/strong><\/li><\/ul>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5eee58d elementor-widget elementor-widget-spacer\" data-id=\"5eee58d\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d4269da elementor-widget elementor-widget-text-editor\" data-id=\"d4269da\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>ARTICLE 7 &#8211; <strong>INSURANCE<\/strong><\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-03016f1 elementor-widget elementor-widget-text-editor\" data-id=\"03016f1\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<p>The supplier must take out and maintain in force all the insurance policies necessary to cover its liability under these terms and conditions of purchase.\u00a0<br \/>The supplier shall provide the purchaser with proof of such insurance, including the extent of the cover it provides.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5b01144 elementor-widget elementor-widget-spacer\" for the execution of an order will remain the property of <strong>celduc\u00ae transfo<\/strong> unless specified otherwise in writing.\u00a0<br \/>The same applies to any tools designed and made by the supplier specifically for the execution of a <strong>celduc\u00ae transfo <\/strong>order if the design and manufacturing of said tools is financed in full by <strong>celduc\u00ae transfo<\/strong>.\u00a0<br \/>If <strong>celduc\u00ae transfo<\/strong> only partially finances the tool, it will be jointly owned unless agreed otherwise by the parties.\u00a0<br \/>Unless specifically agreed otherwise by the parties, the tool will become the exclusive property of <strong>celduc\u00ae transfo<\/strong> three years after its confidential all the technical, accounting and business information to which it has access in the course of fulfilling the <strong>celduc\u00ae transfo<\/strong> order.\u00a0<br \/>In particular, the supplier undertakes not to manufacture and\/or supply parts identical to those of <strong>celduc\u00ae transfo<\/strong> using the latter&#8217;s drawings or technical data sheets, or tools (even when jointly owned).<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4037345 elementor-widget elementor-widget-spacer\" data-id=\"4037345\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div
